Terms & Conditions

By accessing and using AGNIC Studio's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These terms and conditions are subject to change without notice. Your continued use of our services following any changes constitutes acceptance of those changes.

Digital Services

AGNIC Studio provides digital design, development, and consulting services including but not limited to web design, web development, mobile applications, branding, and digital marketing solutions.

Service Delivery

All services are provided on a project basis or through ongoing retainer agreements. Specific deliverables, timelines, and costs are outlined in individual project agreements or statements of work.

Modifications

We reserve the right to modify or discontinue any service at any time without notice. We shall not be liable to you or any third party for any modification or discontinuance of our services.

Payment Schedule

Payment terms are specified in individual project agreements. Generally, we require a 50% deposit before work begins, with the remainder due upon project completion or according to agreed milestones.

Late Payments

Late payments may incur a service charge of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts that are 30 days or more overdue.

Refunds

Refunds are handled on a case-by-case basis. Generally, deposits are non-refundable once work has commenced. Any refund requests must be submitted in writing.

Client Ownership

Upon full payment, clients own the final deliverables created specifically for their project. This includes custom designs, code, and content created by AGNIC Studio for the client's exclusive use.

AGNIC Studio Rights

We retain ownership of our general methodologies, know-how, skills, and experience. We also reserve the right to use completed projects in our portfolio and marketing materials unless otherwise agreed.

Third-Party Materials

Any third-party materials, stock photos, fonts, or plugins used in projects remain the property of their respective owners and may require separate licensing.

Service Limitations

Our services are provided 'as is' without warranty of any kind. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements.

Liability Cap

In no event shall AGNIC Studio's total liability exceed the amount paid by the client for the specific service that gave rise to the claim. This limitation applies regardless of the legal theory upon which the claim is based.

Consequential Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Mediation

Any disputes arising from these terms or our services shall first be addressed through good faith negotiations. If unsuccessful, disputes shall be resolved through binding mediation.

Jurisdiction

Any legal action or proceeding relating to these terms shall be brought exclusively in the courts of New York, NY, and you consent to the jurisdiction of such courts.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the project. This obligation survives termination of the agreement.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, or pandemic.

Severability

If any provision of these terms is found to be unenforceable, the remainder of the terms shall remain in full force and effect.
